This Creator Agreement (“Agreement”) is entered into between:

AdriSoft s.r.o. (24025054), a company incorporated under the laws of the Czech Republic, with its registered office at Husitská 107/3, Žižkov, 13000 Praha 3, Czech Republic (“Fansmates,” “Company,” “we,” or “us”),

and

The individual or legal entity registering as a creator on the Fansmates platform (“Creator,” “you”).

By creating a creator account, uploading content, or monetizing through Fansmates, you agree to be bound by this Agreement.

1. PLATFORM DESCRIPTION

Fansmates is an online content platform that allows creators to upload, distribute, and monetize user-generated content for subscribers. Fansmates acts solely as a technology service provider and hosting platform and does not produce creator content.

2. ELIGIBILITY

To become a Creator, you must:

  • Be at least 18 years old

  • Have the legal capacity to enter into contracts

  • Successfully complete Fansmates identity and age verification

  • Not be prohibited by law from providing adult or digital content services

3. CREATOR ACCOUNTS

You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activity occurring under your account

  • Providing accurate, current, and complete information

Fansmates may suspend or terminate accounts for violations of this Agreement or applicable law.

4. CONTENT OWNERSHIP & LICENSE

4.1 Ownership

You retain full ownership of all content you upload (“Creator Content”).

4.2 License to Fansmates

You grant Fansmates a non-exclusive, worldwide, royalty-free, sublicensable license to:

  • Host, store, reproduce, distribute, display, and transmit Creator Content

  • Promote the platform and your profile

  • Provide the Services to users

This license ends when your content is removed, except where retention is legally required.

5. CREATOR REPRESENTATIONS & WARRANTIES

You represent and warrant that:

  • You own or control all rights to your Creator Content

  • All individuals depicted are 18 years of age or older

  • Your content does not violate any law, third-party rights, or platform policies

  • You have obtained all required consents, licenses, and releases

6. ADULT CONTENT & USC 2257 COMPLIANCE

6.1 Creator as Producer

You acknowledge that you are the primary producer of your content for purposes of 18 U.S.C. § 2257 and similar laws.

You are solely responsible for:

  • Verifying the age and identity of all persons depicted

  • Maintaining legally required records (IDs, releases)

  • Producing such records upon lawful request

Fansmates does not act as the custodian of 2257 records.

6.2 Prohibited Content

You may not upload content that:

  • Depicts or implies minors

  • Is non-consensual or exploitative

  • Is illegal under Czech, EU, U.S., or applicable international law

7. PAYMENTS & FEES

7.1 Earnings

Creators earn revenue from subscriptions, tips, and other monetization tools offered by Fansmates.

7.2 Platform Fee

Fansmates retains a platform service fee as disclosed on the platform at the time of payment.

7.3 Payouts

  • Payments are processed via third-party payment providers

  • Creators are responsible for providing accurate payout information

  • Fansmates is not responsible for payment processor delays or failures

8. TAXES

You are solely responsible for:

  • Reporting and paying all applicable taxes

  • VAT, income tax, or withholding obligations

  • Compliance with your local tax authority

Fansmates does not provide tax advice.

9. CONTENT MODERATION

Fansmates reserves the right to:

  • Review, restrict, remove, or disable content

  • Suspend or terminate accounts

  • Cooperate with law enforcement

Fansmates has no obligation to monitor content but may do so at its discretion.

10. TERMINATION

10.1 By Creator

You may terminate this Agreement by closing your account.

10.2 By Fansmates

Fansmates may suspend or terminate your account immediately for:

  • Breach of this Agreement

  • Legal or regulatory risk

  • Fraud or abuse

  • Failure to comply with age-verification or record-keeping obligations

11. DISCLAIMER OF WARRANTIES

The platform is provided “as is” and “as available.”
Fansmates makes no guarantees regarding earnings, uptime, or audience reach.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Fansmates shall not be liable for indirect, incidental, or consequential damages.
Total liability shall not exceed the amount paid to you in the preceding six (6) months.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Fansmates from any claims, damages, or liabilities arising from:

  • Your content

  • Your breach of this Agreement

  • Your failure to comply with laws or regulations

14. DATA PROTECTION (GDPR)

Fansmates processes personal data in accordance with EU GDPR and its Privacy Policy.

Creators agree to lawful processing of personal data related to platform services.

15. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by the laws of the Czech Republic, excluding conflict of law rules.

Any disputes shall be subject to the exclusive jurisdiction of the courts of the Czech Republic, unless mandatory consumer protection laws apply.

16. MODIFICATIONS

Fansmates may update this Agreement at any time. Continued use of the platform constitutes acceptance of changes.

By registering as a Creator, you confirm that you have read, understood, and agree to this Creator Agreement.
